Warranty, Terms & Conditions

Proposal Validity

Proposals are valid for sixty (60) days from the proposal date unless otherwise stated.

Pricing may be subject to change after this period due to fluctuations in material costs, supplier pricing, or project scope adjustments.

Allowances and Final Material Selections

The Client acknowledges that certain material selections may not be finalized at the time this Agreement is signed. The Quote may include allowances or estimated amounts for certain product categories.

An allowance is an amount included in the Quote for a specific material or product category. The final cost may increase or decrease depending on the Client’s final selections, product availability, supplier pricing, quantities required, delivery charges, fabrication requirements, taxes and related costs.

The Statement of Work (Schedule B) includes allowances for material costs only.

Unless otherwise stated, Installation is included in the statement of work, and changes to allowances will impact material costs only.

Before ordering allowance-based materials, Klever Kitchens Inc. will confirm the final selection and any price adjustment with the Client.

If the final selected material or product exceeds the allowance amount, the Client will be responsible for the approved difference, plus applicable HST.

If the final selected material or product is less than the allowance amount, the Client will receive a credit against the final balance for the difference, unless otherwise agreed in writing.

No allowance overage will be charged unless approved by the Client in writing before the applicable material or product is ordered.

Client-Supplied Materials

The Client may choose to supply certain materials or products directly, subject to approval by Klever Kitchens Inc. to confirm that the items are suitable for the project and can be reasonably installed.

If the Client supplies an item that was included as a material allowance in the Quote, Klever Kitchens Inc. will remove or credit the applicable material allowance from the project price. Installation charges will still apply where installation is included in the Quote or otherwise agreed.

Client-supplied materials must be delivered to the project site, complete and undamaged, by the date required for the project schedule.

The Client is responsible for confirming quantities, dimensions, compatibility, finish, colour, quality, warranty, missing parts, defects, damage, delivery delays, returns and replacements for Client-supplied materials.

Klever Kitchens Inc. is not responsible for manufacturer defects, product failure, missing parts, damage, suitability, warranty claims or delays related to Client-supplied materials.

Any additional labour, return visits, modifications, delays or project changes caused by Client-supplied materials may result in additional charges.

Final Price Adjustments

The final project price will be calculated as follows:

Original Quote amount

+  plus approved allowance overages

-   minus approved allowance credits

-   minus credits for approved Client-supplied materials

+  plus approved change orders

+  plus applicable HST.

All price adjustments must be documented in writing.

Deposit & Payment Terms

A signed proposal and deposit are required prior to scheduling, ordering materials, or commencing production.

Payments are due according to the agreed payment schedule outlined in this proposal.

Late payments may result in project delays or suspension of work until accounts are brought current.

Material Orders and Project Scheduling

Materials may be ordered after the required deposit has been received and the Client has approved the applicable design, selections and Quote. Estimated project timelines are provided in good faith based on current scheduling and supplier lead times.

Project schedules may be affected by:

    • Material delays

    • Change requests

    • Site conditions

    • Trade coordination

    • Weather or other unforeseen circumstances

Klever Kitchens Inc. will make reasonable efforts to meet the expected schedule, but delays may occur due to backordered materials, supplier issues, permit delays, trade availability, appliance delays, building access restrictions, hidden site conditions, Client delays or other circumstances beyond the Contractor’s reasonable control.

Material Availability

Material selections and quoted products are subject to supplier availability at the time of ordering. In the event of discontinued or unavailable materials, comparable alternatives will be reviewed with the client for approval prior to substitution.

Client Responsibilities

The Client agrees to:

    • provide reasonable access to the property during agreed work hours;

    • ensure the work area is reasonably clear and accessible before work begins;

    • remove personal items, valuables, fragile items and food from cabinets, counters and affected areas;

    • provide access to electricity, water, parking and washroom facilities where reasonably required;

    • keep children and pets safely away from the work area;

    • obtain any required condo, landlord, property management or neighbourhood approvals, unless otherwise agreed in writing;

    • ensure appliances and Client-supplied materials are available when required;

    • make timely decisions and approvals so the project is not delayed.

Any delay caused by lack of access, late approvals, unavailable appliances, incomplete Client responsibilities or other Client-controlled matters may affect the project schedule and may result in additional costs.

Permits, Licensed Trades and Subcontractors

    If permits, inspections or licensed trades are required for the project, the Parties will confirm in the Quote or in writing who is responsible for arranging and paying for them.

    Klever Kitchens Inc. may use subcontractors or trade partners to complete portions of the work.

    Any electrical, plumbing, gas or other regulated work will be completed by properly qualified trades where required by law.

    Unless specifically included in the Quote, permit fees, inspection fees, engineering fees, utility upgrades, code-required upgrades and similar costs are not included in the project price.

    Changes and Additional Work

    Any change to the approved Quote, design, materials, layout, finish selections, installation method or project scope must be approved in writing by both Parties before the additional work is performed or materials are ordered.

    Approved changes may affect the project price, payment schedule and timeline.

    Klever Kitchens Inc. is not required to perform extra work that has not been approved in writing.

    Site Conditions and Existing Concealed Issues

    The Client acknowledges that renovation work may reveal hidden or existing conditions that were not visible or reasonably known at the time of quoting.

    These may include, but are not limited to, uneven walls or floors, water damage, mould, rot, improper prior renovations, plumbing issues, electrical issues, structural issues, pest damage, unsafe wiring or code-related issues.

    If hidden or existing conditions are discovered, Klever Kitchens Inc. will notify the Client. Any additional work, materials, remediation, repairs or delays resulting from those conditions will be handled as a change order unless already included in the Quote.

    Klever Kitchens Inc. is not responsible for pre-existing conditions or defects in the home.

    Renderings, Samples and Material Variations

    The Client acknowledges that 3D renderings are visual representations only. Actual colours, finishes, proportions, lighting, grain, veining, sheen and texture may vary from what appears in renderings, photographs, screens, samples or printed materials.

    Natural and manufactured materials, including quartz, stone, wood, veneer, laminate, paint and hardware finishes, may have normal variations in colour, tone, pattern, grain, veining or dye lot.

    Reasonable variations of this nature are not considered deficiencies.

    Completion, Final Inspection and Deficiencies

    When the work is substantially complete, Klever Kitchens Inc. and the Client will complete a final inspection.

    Any minor deficiencies or touch-ups will be noted and addressed within 90 days, or a reasonable time agreed upon by both parties.

    Minor deficiencies do not delay the requirement to make the final payment, provided the project is substantially complete and the kitchen is reasonably usable for its intended purpose.

    Final payment is due upon final inspection, subject to any written deficiency list and any holdback required by applicable law.

    Photography

    Kever Kitchens may photograph completed work for portfolio, marketing, or promotional purposes unless otherwise requested in writing by the client.

    Care of Property and Cleanup

    Klever Kitchens Inc. will take reasonable care while working at the project address and will make reasonable efforts to keep the work area safe and orderly.

    Klever Kitchens Inc. will remove renovation debris created by its work unless otherwise stated in the Quote.

    The Client is responsible for removing personal items, household garbage and any items not related to the contracted work.

    The Client acknowledges that renovation work can create dust, noise and disruption.

    Cancellation

    If the Client wishes to cancel the project after signing this Agreement, the Client must notify Klever Kitchens Inc. in writing.

    Subject to any cancellation rights required by applicable law, the Client will be responsible for all work performed, materials ordered, custom or special-order items, design time, administrative costs, restocking charges, supplier cancellation fees and other costs incurred by Klever Kitchens Inc. up to the date of cancellation.

    Custom, special-order, fabricated or installed materials may be non-refundable.

    Limitation of Responsibility

    Klever Kitchens Inc. is responsible for completing the work described in the Quote in a professional manner.

    Klever Kitchens Inc. is not responsible for delays, costs, damage or deficiencies caused by pre-existing conditions, work performed by others, Client-supplied materials, supplier delays, manufacturer defects, hidden conditions, acts of God, utility issues, building management restrictions, permit delays or matters outside the Contractor’s reasonable control.

    Nothing in this Agreement limits any rights or responsibilities that cannot legally be limited under applicable law.

    Dispute Resolution

    If a concern or dispute arises, the Parties agree to first try to resolve the matter through good-faith discussion.

    If the matter cannot be resolved, the Parties may agree to mediation or another reasonable dispute resolution process before starting legal proceedings, unless urgent action is required.

    Governing Law

    This Agreement is governed by the laws of the Province of Ontario and the applicable laws of Canada.

    Entire Agreement

    This Agreement, together with the attached Schedules, forms the entire agreement between the Parties for the project.

    Any changes must be made in writing and approved by both Parties.
